Effective date: 24 September 2026. Between BRID NETWORK LLP, LLPIN ACY-8529 ("Platform") and the individual partner ("you").

Partner Agreement

1. Status

You are an independent service provider, not an employee, agent or legal partner of the Platform. "Partner" is the name of your role in the app; it does not create a partnership, joint venture or agency. Nothing in this Agreement creates an employment relationship. You are free to choose when to be online, subject to the Partner Code of Conduct.

2. Services

You provide conversational voice/video time to users through the OMallu app. The Platform provides software, billing of users in coins, and payment of your service fee in rupees.

3. Fees

You earn a rupee service fee per minute (or part thereof as configured) according to the call mode, as shown in the partner dashboard. You do not redeem coins; users spend coins with the Platform, and the Platform pays you separately.

4. Welcome / free coins

If a caller has never completed a real paid purchase, calls paid with promotional or welcome coins earn you ₹0 (or a small cap if we configure one and notify you in the app). This reduces fraud from fake accounts. Paid-call earnings are unaffected.

5. KYC and payouts

Before withdrawal you must complete PAN and bank verification. We may re-check KYC when an admin approves a payout. Payouts may have minimum thresholds and processing times shown in the app. We may withhold payouts during fraud or conduct investigations.

6. Tax

Applicable TDS or other tax may be deducted from payouts as required by law and shown on your statements. You are responsible for your own income tax filings.

7. Conduct and IP

You must follow the Partner Code of Conduct and Community Guidelines. Content and feedback you provide may be used to operate and improve the service. You confirm you have the right to appear on camera/microphone for this purpose. Work product and feedback you create for the Platform may be used by BRID NETWORK LLP to operate OMallu.

8. Termination

Either party may end this arrangement under the app's partner tools or by notice to support@omallu.io, subject to payout of undisputed compliant earnings after any investigation hold.

9. Governing law

Laws of India; courts at Kollam, Kerala, India.
